1. Acceptance of Terms

By accessing or using the Vinly platform (“Service”), operated by Vinly Inc. (“Company,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms apply to all users of the platform, including dealership administrators, managers, appraisers, and sales staff.

2. Description of Service

Vinly provides an AI-powered automotive dealership management platform including vehicle appraisal tools, inventory management, market analysis, dynamic pricing intelligence, AI-assisted damage detection, and related services. The Service is provided on a subscription basis per dealership rooftop.

3. Account Registration

To use the Service, a dealership administrator must create an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

The Service is offered on a monthly subscription basis billed in Canadian Dollars (CAD). Pricing covers unlimited users per dealership rooftop. You authorize us to charge your payment method on a recurring monthly basis. You may cancel your subscription at any time, effective at the end of the current billing period.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not: (a) use the Service to process data you do not have the right to use; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with or disrupt the Service or its infrastructure; (d) reverse engineer, decompile, or disassemble any part of the Service; (e) use the Service to transmit malicious code or engage in fraudulent activity.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all vehicle data, appraisal records, and other content you submit to the Service. We use this data solely to provide and improve the Service as described in our Privacy Policy.

7. AI-Generated Content

The Service includes AI-powered features such as damage detection, market analysis, and the Vinny assistant. AI-generated outputs are provided as decision-support tools and should not be treated as professional appraisals, inspections, or financial advice. You are responsible for verifying AI-generated information before making business decisions.

8. Intellectual Property

The Service, including its software, algorithms, designs, and documentation, is the intellectual property of Vinly Inc. and is protected by copyright and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your dealership operations.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Vinly Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service if you violate these Terms or engage in conduct that we determine is harmful to us, other users, or third parties. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.
